1. Company & Service Information

123accounts.co.uk ("the Service", "the Platform") is operated and provided by Unforgettable Management Ltd ("we", "us", "our"), a company incorporated and registered in the United Kingdom.

By accessing, browsing, registering for, or using 123accounts.co.uk, you ("the User", "you") agree to be legally bound by these Terms of Service. If you do not agree to these Terms, you must refrain from using the Platform.

2. Nature of Service & No Accountancy Advice

123accounts is a cloud-based digital bookkeeping and Making Tax Digital (MTD) record-keeping software tool designed exclusively for UK sole traders, freelancers, and small business owners.

3. User Accounts & Security

• You must be at least 18 years old and legally resident or trading in the United Kingdom to create an account.
• You agree to provide true, accurate, and current information upon registration.
• To protect your financial records, you must create a password containing a minimum of 10 characters including at least one special character. You are solely responsible for maintaining the confidentiality of your credentials.
• You must notify us immediately of any unauthorised access or breach of security relating to your account.

4. Plans, Subscriptions & Billing

We offer two primary access tiers:

• Free Plan: Provided at £0/month with no credit card required. Includes income/expense tracking, bank statement CSV imports, statutory mileage calculations, and accountant SA103 CSV/PDF exports.
• Pro Plan: Billed at £4.99 per month (or £49.00 annually) inclusive of VAT where applicable. Unlocks direct HMRC MTD OAuth2 submission, automated bank sync, receipt OCR, and priority support.

Subscriptions renew automatically on a recurring monthly or annual basis unless cancelled prior to the renewal date via your Account Settings. You may cancel at any time with immediate effect on subsequent billing cycles. Under the UK Consumer Contracts Regulations, you have the right to cancel your subscription within 14 days of initial upgrade for a full refund, except where digital services have been fully accessed or submitted to HMRC.

5. HMRC Making Tax Digital (MTD) Submissions

When connecting your Government Gateway or authorizing 123accounts via HMRC's OAuth2 service:

• You authorize 123accounts to transmit quarterly income and expense summaries to HMRC on your behalf upon your explicit instruction (e.g. clicking "Submit to HMRC").
• You are strictly responsible for reviewing your summary data, verifying business figures, and submitting your returns ahead of statutory HMRC deadlines.
• We retain submission audit logs and HMRC correlation IDs as proof of digital transmission.

6. Intellectual Property

All software, interfaces, graphics, trade marks, code, and intellectual property comprising 123accounts.co.uk are the exclusive property of Unforgettable Management Ltd or our licensors.

You retain 100% ownership of your raw financial data, transaction history, customer invoices, and personal records stored on the Platform.

7. Limitation of Liability

To the maximum extent permitted by English law:

• 123accounts is provided on an "as is" and "as available" basis without warranties of any kind.
• Unforgettable Management Ltd shall not be liable for any indirect, consequential, or economic loss, loss of business, HMRC late-filing fines, interest charges, penalties, or damages arising out of incorrect categorisation or user data errors.
• Our total aggregate liability under these terms is limited to the total fees paid by you to us in the 12 months preceding the claim.
• Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under UK consumer protection laws.

8. Termination & Data Export

You may terminate your account at any time. Upon request or account closure, you are entitled to export your complete transactional and SA103 records in standard CSV or PDF format. We reserve the right to suspend accounts that violate these terms or conduct fraudulent activity.

9. Governing Law & Jurisdiction

These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction.
